Faculty Subcontractor Agreement
THIS AGREEMENT is made on January 1, 2024 between Awaken Coaching, LLC, a limited liability company incorporated in the State of Wyoming, USA and the sub-contractor (Hereinafter referred to as “the Faculty” ).
WHEREAS Awaken Coach Institute, operating under the auspices of Awaken Coaching LLC, is in the business of providing training and coaching services AND WHEREAS it has been agreed between Awaken Coaching, LLC and the Faculty that the Faculty will operate as a sub-contractor for purposes of carrying out coach training, coach observations and curriculum development activities for the consideration and upon the terms and conditions hereinafter appearing:
1. Contract Term
This is a one-year contract and will commence on January 1, 2024, and end on December 31, 2024. In the event that the Faculty has an ongoing assignment at the expiry of this contract, the contract will be deemed valid until all the ongoing assignments and their related deliverables have been successfully provided and accepted in accordance with the Statement of Work unless it is terminated earlier in accordance with the terms as set out below.
2. Services to be delivered
The Faculty agrees to provide professional services as described in the Sub-contractor orders that will be issued from time to time. The services will be provided by the Faculty and they may be substituted by other approved Faculty, as needed.
Awaken Coaching, LLC will own the copyright, proprietary rights, and all other intellectual property rights in all Deliverables. This includes the already existing training material developed by Awaken Coaching, LLC and where applicable, coaching tools used in the process of coaching delivery of any supplementary materials and content that the Faculty may develop in the course of carrying out the designated services. Services that may be delivered are stated below.

All-in-One: Facilitate your own cohort
This means that you market to and gather your own cohort, teach all of the courses and comment on all the worksheets, provide at least six supervised coaching sessions to each student, and assess the final exams.
You may delegate any of those tasks to other approved Awaken faculty members at our agreed-upon rates.
You are responsible for the entire cohort from start to finish. You have access to Christi for all support you may need, and to the Awaken support staff for marketing and technical help.

Provide mentor coaching
This position is only available to PCC and MCC coaches. In 2024, all mentor coaches will have completed the ICF PCC assessor course. Our mentor coaching program provides 7 group mentor coaching hours + 3 individual hours per student.

15% commission for each new lead from your affiliate link who purchases our online courses and coaching services.
Commissions are paid out as soon as the cancellation period is complete and the payment from the participant is received in full.

Facilitate our in-person cohorts.
Each faculty member will be expected to: - Attend the kick-off meeting that occurs several months prior to the training retreat - Facilitate a minimum of one 90-minute class each day of the training (total of 8) - Be fully present during all classes (6 hours per day) - Supervise 3 participants per day, starting on day 2 (total of 6). - Provide three 1:1 mentor coaching sessions after the intensive to a minimum of 3 of the participants.
Faculty cover their own travel to and from the event location.

$900 flat rate for affiliate referrals to the program ($300 for Kenyans paying the discounted pricing)

3. Settlement of Fees
Awaken Coaching agrees to pay the Faculty for work performed for Awaken Coach Institute. The Faculty will submit a simple invoice by email at the end of each cohort, detailing which tasks were performed. In the United States, the invoice should include the Faculty’s email address and the payment platform of preference: Zelle or PayPal. Invoices will be settled within thirty (30) days of the invoice. In all other countries, payments will be made via the Wise platform. Invoices should include the Faculty full name and email, the country, and IBAN.
The Faculty is not authorized to incur any expenses on behalf of Awaken Coaching, LLC without written permission.
4. Faculty Obligations
The Faculty will exercise all reasonable skills and care when providing the Services and will comply with Awaken Coach Institute’s quality and other standards and procedures as directed and guided by the CEO. The Faculty’s training methodology may be at their discretion but they will be directed in the overall provision of the Services by Awaken Coaching’s CEO and will comply with all reasonable directions given by her.
The Faculty will maintain an accurate record of periods worked for Awaken Coaching under this Contract. The Faculty must at all times adhere to the ICF Professional Code of Ethics and Standards of Ethical Conduct for Coaches.
The Faculty will comply with all safety and security procedures in force at any location at which the Services are being provided on behalf of Awaken Coaching.
The Faculty will notify Awaken Coaching as far as possible in advance of any periods during which they are unavailable or they will be unable to provide the Services due to holiday, sickness or third party commitments and will communicate with other Faculty members to find a suitable replacement, as needed.
The Faculty will comply with the requirements of all relevant legislation and agreements relating to value-added tax, income, and other taxes. The Faculty will work such hours as are reasonably necessary to provide the Services specified in the Schedule of Work.
The Faculty shall be responsible for ensuring that they comply with any rules in force in respect of the coaching business including but not limited to rules of ethics. The Faculty undertakes to indemnify and to keep indemnified the Awaken Coaching against any claims, demands, actions, costs, expenses, and proceedings arising by reason of any breach of such rules.
5. Termination
Either the Faculty or Awaken Coaching, LCC may terminate this Contract by giving the other party at least one (1) month’s written notice of intention to terminate, or until the end of the most recently contracted coaching engagement whichever is longer.
Awaken Coaching, LLC may terminate this Contract forthwith by giving the Faculty a written notice if:
The Faculty commits a material breach of their obligations hereunder and the breach, if capable of remedy, is not remedied within seven days from the date they receive written notice requiring remedy of the breach; or where the breach is not capable of remedy, with immediate effect upon their receipt of such notice; OR
The Faculty’s performance is not satisfactory, OR
The Faculty breaches any Professional Code of Ethics and Standards of Ethical Conduct as Stipulated by the International Coach Federation (ICF).
The termination of this Contract will be without prejudice to our respective rights and obligations existing at the date of termination. The terms of this Contract which are either expressly or by their nature designed to survive termination will so survive.
6. Confidentiality
The Faculty undertakes that they will not at any time during the term of this Contract or after its termination discloses or use, except in the course of providing the Services, any confidential information, trade secrets, or proprietary data of Awaken Coaching, LLC including business systems and the names of Awaken Coaching’s clients and prospective clients. The Faculty may obtain or copy materials containing confidential information only to the extent necessary to carry out their obligations under this Contract. Promptly on the termination of this Contract, the Faculty will return to Awaken Coaching, LCC all materials or items containing confidential information.
The Faculty undertakes that they will not without Awaken Coaching’s prior consent either during the term of this Contract or after its termination use for trade or other purposes the name of any of Awaken Coaching’s clients, to whom your services were provided.
The Faculty undertakes that they will not during the term of this Contract solicit or undertake any work similar to the Services you have provided under this Contract from any of Awaken Coaching’s clients that is or was the ultimate beneficiary of such Services.
The Faculty further confirms that all matters that come to their knowledge regarding Awaken Coaching’s clients, including their business systems and trade secrets, by reason of this contract are strictly confidential and shall not be divulged to third parties whatsoever nor will such information be used for personal advantage.
Upon termination of this agreement, the confidentiality clauses in this agreement shall continue to be binding upon the Faculty as if this agreement were in force after the termination date.
7. Insurance Obligation
The Faculty will at their own expense ensure that they maintain an adequate cover in respect of the provision of the Services professional indemnity insurance.
When Services are to be provided abroad the Faculty will ensure that they are covered by a private medical scheme that provides adequate cover in the relevant countries and will provide Awaken Coaching, LLC with details if requested.
8. Exclusivity of Service
The Faculty may not during the currency of this agreement accept work from third parties in direct competition with Awaken Coaching’s business. In the event that the Faculty does have existing contracts of the aforementioned nature, they are advised to make a full disclosure upfront and it shall be at the discretion of Awaken Coaching to determine the extent of a conflict of interest or potential conflict of interest and make an appropriate decision.
At the expiry of this contract, the Faculty may provide similar services to the third parties upon expiry of this contract provided that such supply does not induce a conflict of interest or breach of the confidentiality obligations set out in Clause 6 above.
9. General
Relationship - Nothing in this Contract will create the relationship of agency or employment or partnership between the Faculty and Awaken Coaching, LLC and the Faculty will not represent that any such relationship exists.
Force Majeure - Neither party will be liable for any breach of its obligations under this Contract to the extent that it is prevented from performing them due to circumstances beyond its reasonable control.
Amendment - This Contract may only be amended by written agreement.
Entire Agreement - This Contract including any attached Statement of Work forms the complete and exclusive statement of the contract between Awaken Coaching, LLC and the Faculty in relation to the Services. All previous agreements, correspondence, and understandings relating to the subject of this Contract are superseded by this Contract (except that neither party excludes liability for any fraudulent pre-contractual misrepresentations on which the other can be shown to have relied). The headings in this Contract are included to make it easier to read but do not form part of the Contract. In the event and only to the extent of any conflict between the Statement of Work and these terms and conditions or any referenced or attached document, the Statement of Work will take precedence.
Applicable Law - This Contract will be subject to and construed in accordance with the laws of the State of Wyoming.
Dispute Resolution - Both parties will seek in good faith to resolve any dispute which may arise relating to this Contract. If the dispute cannot be resolved through such negotiations, the two parties will attempt in good faith to resolve the dispute through mediation or other alternative dispute resolution procedure. If the matter cannot be resolved by such a procedure, the dispute may be referred by either party to the jurisdiction of the Courts of the State of Wyoming.
Contract Commissioning - Both parties agree to have a full understanding of all the terms captured under clauses numbers one to ten (1-10) above, and all the related sub-clauses and do hereby commission this agreement by signing hereunder.
